Terms and Conditions for Branding Service:

1. Agreement Overview:

This agreement (the "Agreement") is entered into between Pocket Site, hereinafter referred to as the "Service Provider," and the above stated Client Name, hereinafter referred to as the "Client."

2. Scope of Services:

The Service Provider agrees to provide branding services to the Client, which includes:

Completion of a branding questionnaire with the Client.
Presentation of 3 initial designs for the Client's review.
Selection of 1 design direction for 2 further design iterations.
Additional design iterations beyond the initial scope will be chargeable at £60 per hour.

3. Payment Terms:

The Client agrees to pay 50% of the total agreed branding price before the commencement of work. The remaining 50% is due upon completion before the sharing of the final assets and brand style guide.

4. Refunds

a. The initial 50% payment made by the Client is non-refundable once work has commenced.

b. If the Client decides to terminate the agreement before the commencement of work, a refund of the initial 50% payment may be granted, minus any reasonable costs incurred by the Service Provider up to that point.

c. In the event that the Client is dissatisfied with the delivered designs and requests termination before the final assets are shared, the remaining 50% of the agreed branding price may be due in full, and will be reviewed on a case-by-case basis, taking into consideration the work completed and costs incurred by the Service Provider.

d. Once the final assets are shared with the Client, no refund is possible, and the remaining 50% of the agreed branding price is due in full.

5. Additional Charges:

If additional design iterations are requested by the Client beyond the initial scope, they will be billed at a rate of £60 per hour. The Client will be informed of any additional charges before the commencement of the extra work.

6. Branding Style Confirmation:

Once the branding style is confirmed by the Client, the Service Provider will provide a comprehensive brand style guide. This guide will ensure that the brand is consistently applied across all marketing efforts.

7. Client Responsibilities:

The Client agrees to:

Cooperate with the Service Provider in a timely manner.
Provide feedback and approvals promptly during the design process.
Clearly communicate preferences and expectations to guide the branding process effectively.

8. Timeline:

Both parties agree to adhere to the agreed-upon timeline for the completion of the branding services. Any delays caused by the Client may affect the delivery schedule, and the Service Provider shall not be held responsible for such delays.

9. Ownership and Usage Rights:

Upon receipt of the final payment, the Client will be granted full ownership and exclusive usage rights to the finalized branding assets.

10. Confidentiality:

Both parties agree to keep confidential any proprietary information disclosed during the course of this agreement.

11. Termination:

Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement.

12. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of England.

13. Amendments:

No amendment or modification of this Agreement shall be valid unless made in writing and signed by both parties.
